This Service Agreement ("Agreement") is made between VitaScanAI ("Provider", "we", "us", "our") and the user of our services ("Client", "you", "your").
By accessing or using VitaScanAI services, you agree to be bound by this Agreement.
1. Services Provided
VitaScanAI offers AI-powered cancer detection and analysis services, including but not limited to:
Data intake and secure upload.
AI-based scan and detection.
Generation of diagnostic insights and reporting.
Scope: The exact services to be delivered will be outlined in individual project scopes or commercial agreements.
2. Client Responsibilities
The Client agrees to:
Provide accurate, complete, and lawful medical imaging or data for analysis.
Ensure all uploads comply with applicable health privacy laws (e.g., HIPAA, GDPR).
Maintain necessary consent from patients or subjects, if applicable.
The Client retains full responsibility for any decisions made based on VitaScanAI reports.
3. Data Privacy and Security
All personal and health-related data is handled according to our Privacy Policy.
Client data is encrypted both in transit and at rest.
Anonymized data may be used for research and model improvement, unless otherwise agreed in writing.
4. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary, sensitive, or private information disclosed during the course of this Agreement.
5. Payment Terms

Failure to pay may result in suspension or termination of services.
6. Intellectual Property

7. Warranties and Disclaimers
VitaScanAI strives for high accuracy but does not guarantee diagnostic outcomes.
The Service is not a substitute for professional medical advice, diagnosis, or treatment.
Use of results is at the Client’s sole discretion and risk.
8. Limitation of Liability
In no event shall VitaScanAI be liable for any indirect, incidental, special, consequential, or punitive damages.
Our total liability under this Agreement shall not exceed the amount paid by the Client in the preceding 12 months.
9. Term and Termination
This Agreement is effective upon use of the Services and remains in force until terminated by either party with written notice.
Upon termination, Client access to VitaScanAI services and data may be revoked.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of EU and UK, without regard to conflicts of law principles.
